A data room is a virtual document repository that an investor requests after the first or second meeting if they are seriously interested. In her guide, a16z partner Justine Moore gives the key piece of advice: prepare your data room before you start fundraising rather than scrambling to gather documents after the first request — that way you will have time to reconcile all the numbers with each other.
The structure depends on the stage. For a company that hasn't launched yet, the set is minimal: a pitch deck, information about the team, a roadmap and pilot or beta data if you have any. For later stages, a financial model, a cap table (capitalization table) and legal documents on the company's registration and intellectual property rights are added. The main rule that Moore emphasizes: all the numbers must match across documents — if the deck says $2M ARR and the financial model says $1.5M, that is a classic red flag that can stop the deal on the spot.
The second important piece of advice is not to dump everything into the room. As Airtree Ventures puts it, an overstuffed data room signals not transparency but disorganization — you need to curate documents for signal, not volume. Practitioners also recommend granting access in stages: a basic set right after interest has been shown, and more sensitive legal and financial details only after a term sheet has been received.
